Terms

These terms apply to The Cipher promotion. By taking part you accept them. They sit alongside the xPortal terms of service, which continue to apply.

1. Not an investment

The Cipher is a promotional prize competition. It is not an investment product, a financial service, or an offer of securities. Nothing on these pages is investment advice or a recommendation to buy, sell or hold any crypto-asset.

2. Risk

Crypto-assets are volatile and largely unregulated. Their value can go down as well as up and you may lose the value of your holdings. Past performance tells you nothing about future performance. Only take part with money you can afford to lose.

Prizes are paid in EGLD. The USD value of a prize is converted to EGLD at the moment the prize is sent, using xPortal’s applicable reference rate; you bear any change in value after that point.

3. Two mechanisms

The Cipher has two separate mechanisms. The competition track ranks participants by qualified volume under strict published caps (see the Official Rules); its prizes - cash and non-cash alike - are awarded by leaderboard position only, never at random, and ties are broken deterministically by the earliest qualifying timestamp recorded in xPortal’s backend. The free visitor draw is the only element decided by chance: it requires no entry, no purchase and no transaction, and competition entrants are excluded from it, so paid activity can never improve anyone’s odds in a draw. The free visitor draw is not available in every country - see Eligibility for the territories where it does not run.

4. Prizes

Prizes are as described in the Official Rules - fixed and published in advance. Prizes are non-transferable and there is no cash alternative beyond the EGLD payment described. Where tax must be withheld, prizes are paid net.

Prizes are awarded and paid only where the promotion, and the relevant track, are lawfully available in your country of residence.

We send prizes to the wallet address that earned them. We cannot recover a prize sent to an address you no longer control, so keep your account secure.

5. Your responsibilities

  • Confirm you are eligible before taking part - see Eligibility.
  • Take part with your main xPortal wallet. Secondary wallets are not eligible.
  • Keep control of your wallet and your recovery details. We never ask for them.
  • Do not use multiple accounts, automation, or any method intended to manipulate the outcome.
  • Report and pay any tax due on a prize in your country.

6. Disqualification

We may withdraw an entry or a prize where we reasonably believe these terms have been breached. We will tell you and give our reason, and you may contest the decision within 48 hours through in-app support, as set out in the Official Rules.

7. Changes and cancellation

We may amend these terms or end the promotion only where necessary for legal, regulatory, security or technical reasons, or where it genuinely cannot be run as planned, and never in a way that retroactively removes a prize you have already earned or unfairly disadvantages you. Material changes are published on this page with a new ‘last updated’ date before they take effect. If a change materially harms your position, you may stop participating.

8. Liability

We are responsible for loss we cause you by breaking these terms or by failing to use reasonable care. We are not responsible for losses caused by things outside our reasonable control, such as network outages or blockchain congestion, nor for losses arising from your own loss of wallet access. Nothing here limits liability that cannot be limited by law, and none of this affects the mandatory consumer protections you enjoy under the law of your EEA country of residence. Nothing in these terms is a guarantee of the future value of EGLD or of any crypto-asset.

9. Sponsor

The sole sponsor and organiser of this promotion is xPortal Equity AG, a company incorporated in Liechtenstein, registered office at Schaanerstrasse 99, 9490 Vaduz, company number FL-002.735.068-1. Apple and Google are not sponsors of, and are not involved in, this promotion in any way.

11. Governing law and disputes

These terms are governed by the law of Liechtenstein. This choice of law does not deprive you of the mandatory consumer protections of the country in which you are resident within the EEA, which continue to apply. Disputes may be brought before the competent courts as provided by applicable consumer law.

12. Alternative dispute resolution

If we cannot resolve a complaint directly, you may be entitled to refer the matter to an alternative dispute resolution (ADR) body competent for your country of residence, in accordance with applicable consumer law. Nothing in this affects your statutory rights or your right to bring proceedings before the competent courts.

13. General

If any provision of these terms is found invalid, the remaining provisions continue in force. These terms, together with the Official Rules, Eligibility and Privacy notice, are the entire agreement for this promotion. A failure to enforce a term is not a waiver of it. You may not transfer your participation or any prize entitlement; we may assign these terms to a group company on notice, without reducing your rights.
